02Instant quotes and estimates
The instant quote, the prices on this site and anything we say before a proposal are estimates to help you plan. They aren't an offer, and submitting a quote request doesn't create a contract or commit you to anything.
Every project is a little different, so we confirm the scope, price and timeline in a written proposal after a short chat. The final price can be higher or lower than the estimate. A proposal's price is fixed for 30 days unless it says otherwise.
Prices are in pounds sterling. Ultria isn't VAT registered, so no VAT is added.
03Using the site
Please use the site lawfully. Don't try to break or overload it, scrape it, or send spam or harmful content through its forms. We try to keep everything accurate and available, but the content is general information, not professional advice, and we may change or pause the site at any time.
04Our content
The designs, words, illustrations, videos and code on this site belong to Ultria or our licensors. You're welcome to share links, but please don't copy or reuse our content without written permission. Client work shown in our portfolio belongs to us or our clients.
05Links to other sites
We sometimes link to other websites, including our clients'. We aren't responsible for their content or how they handle your data.
06Our responsibility
As far as the law allows, we aren't liable for any loss caused by using, or being unable to use, this website or relying on an estimate. Nothing in these terms limits liability that can't legally be limited, such as for fraud or for death or personal injury caused by negligence.
Part two: Terms of business
07How we agree a project
These terms apply to all work we do for you, alongside the proposal or quote we send you (together, “the agreement”). The agreement starts when you accept the proposal in writing (email is fine) and we receive any deposit due. If the proposal and these terms disagree, the proposal wins.
Changes to the agreed scope need to be agreed in writing by both of us, and may change the price and timeline.
08Fees and payment
- Projects: a 50% deposit is due before we start, and the balance is due on completion, before the site goes live or final files are handed over. Larger projects may be split into stages, as set out in the proposal.
- Monthly plans (hosting, care, email and similar) are billed monthly in advance.
- Invoices are due within 14 days unless the invoice says otherwise.
- Late payment: we may pause work or services until overdue invoices are paid. For business clients we may also charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.
09Third-party costs
Unless your proposal includes them, you pay separately for things provided by other companies, such as:
- domain names and renewals
- mailbox and Google Workspace or Microsoft 365 licences
- paid plugins, themes, fonts, stock photos or video
- software subscriptions such as booking, CRM, payment or automation tools, and AI usage charges
We'll always tell you about these costs before you commit. They're subject to the provider's own terms and prices.
10Your part
Great projects need both sides. You agree to:
- send content, feedback, approvals and access in good time
- make sure you have the right to use anything you give us, such as logos, photos and text
- check work carefully before approving it, including spelling, prices and legal wording on your site
If we're waiting on you for more than 30 days, we may invoice for the work done so far and restart when you're ready, subject to our availability.
11Revisions and timelines
Each design stage includes 2 rounds of revisions unless your proposal says otherwise. Further changes, or new work outside the agreed scope, are quoted before we start them. Timelines in proposals are our best estimate. We'll keep you updated, but we aren't responsible for delays caused by late content or feedback, third-party services or events outside our control.
12Who owns the work
Once you've paid in full, you own the final designs, logos, written content and website files we create specifically for you, and we transfer those rights to you. Until then we grant you a licence to use the work in progress for the project.
We keep ownership of our own tools, code libraries, templates and know-how that existed before your project or that we reuse across projects. We grant you a permanent licence to use them as part of your project. Third-party items, such as fonts, plugins and stock images, stay under their own licences.
We may show the finished work in our portfolio, case studies and social media, unless you ask us not to in writing. We'll never share anything confidential.
13Hosting, care and email plans
Monthly plans run month to month. Either of us can cancel with 30 days' written notice. When a plan ends, we'll help you move your website, files and email to another provider, and we'll hand over everything you own. We take regular backups and look after security and updates as described in your plan, but we can't guarantee uninterrupted service from hosting, email or other third-party providers.
14Your customers' data
When we build or look after a website or system that collects your customers' personal data, you are the controller and we act as your processor. In line with Article 28 of the UK GDPR, we will:
- only process that data on your documented instructions and for the work we do for you
- keep it confidential and make sure anyone working on it is bound to confidentiality
- protect it with appropriate security
- only use sub-processors, such as hosting and email providers, under equivalent obligations, and tell you about changes
- help you respond to data requests and meet your own obligations, including after a breach
- tell you without undue delay if we become aware of a breach affecting it
- delete or return the data when our work ends, unless the law requires us to keep it
- give you the information you need to show compliance, and allow reasonable audits
You're responsible for your own privacy policy and for having a lawful basis to collect the data. We're happy to sign a separate data processing agreement if you need one.
15Confidentiality
We both agree to keep each other's confidential information private and use it only for the project. This continues after the agreement ends.
16Our responsibility to you
We'll carry out the work with reasonable care and skill. If something we delivered doesn't match what we agreed, tell us within 30 days and we'll fix it at no cost.
For business clients, our total liability under the agreement is limited to the fees you paid us in the 12 months before the claim, and we aren't liable for indirect losses or loss of profit, revenue, data or business. Nothing limits liability that can't legally be limited.
17If you're hiring us as an individual
If you're a consumer rather than a business, your legal rights are unaffected by these terms. You can cancel within 14 days of accepting a proposal. If you ask us to start within those 14 days and then cancel, you'll pay for the work done up to that point.
18Ending the agreement
Either of us can end the agreement if the other seriously breaks it and doesn't put it right within 14 days of being asked. If a project ends early, you pay for the work done up to that point, and we hand over that work once it's paid for.
19Governing law
These terms, and any dispute about them, are governed by the law of England and Wales, and the courts of England and Wales will decide any disputes. We'd always rather talk first, so email cam@ultria.co.uk and we'll do our best to sort it out. See also our privacy policy.
